Terms of Use

These Terms of Use (“Terms”) govern your access to and use of the website, mobile application, and autoshop management platform (collectively, the “Services”) provided by Cerda's Auto Service (“Cerda,” “we,” “us,” or “our”). By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.

1. Eligibility and Accounts

You must be at least 18 years old and able to form a binding contract to use the Services. If you use the Services on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

To access certain features, you must register an account. You agree to provide accurate, current, and complete information and to keep it up to date. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account. Notify us immediately of any unauthorized use.

2. The Services

The Services are a multi-tenant, role-based platform that helps fleet organizations and automotive service providers coordinate vehicle maintenance solicitations, work orders, parts inventory, dispatch, invoicing, and related communications. Specific features available to you depend on your assigned role and the configuration of your organization's account.

We may modify, suspend, or discontinue any portion of the Services at any time, with or without notice.

3. Acceptable Use

You agree not to:

• Use the Services for any unlawful, fraudulent, or harmful purpose;
• Submit information that is false, misleading, defamatory, or infringes the rights of others;
• Access data, accounts, or systems you are not authorized to access, or attempt to circumvent role-based access controls;
• Reverse engineer, decompile, or attempt to extract the source code of the Services, except to the extent permitted by applicable law;
• Interfere with or disrupt the integrity or performance of the Services, including by introducing malicious code or initiating denial-of-service attacks;
• Use the Services to send spam or other unsolicited communications;
• Scrape, harvest, or otherwise collect information from the Services by automated means without our prior written consent.

4. User Content

You retain ownership of content you submit through the Services (“User Content”), including vehicle records, photos, notes, messages, and documents. You grant Cerda a worldwide, non-exclusive, royalty-free license to host, store, reproduce, transmit, display, and process User Content solely as necessary to provide and improve the Services and as otherwise permitted by these Terms and our Privacy Policy.

You represent that you have all rights necessary to submit User Content and that your User Content does not violate any law or any third party's rights.

5. Service Requests, Estimates, and Repairs

The Services facilitate communication and recordkeeping between fleet organizations and service providers. Estimates, work orders, parts listings, and invoices submitted through the Services reflect the information provided by the relevant party and do not constitute a guarantee by Cerda regarding price, availability, quality, or timeliness of any third-party repair work or parts. Where Cerda itself performs repair services for you, those services are governed by the applicable shop work order or service agreement, which prevails over these Terms with respect to that work.

6. Fees and Payment

Some features of the Services may require payment of fees. You agree to pay all applicable fees and taxes in accordance with the pricing and payment terms presented to you. Unless stated otherwise, all fees are non-refundable. We may change our fees prospectively upon notice.

You are responsible for ensuring that payment information you provide is accurate and that you are authorized to use the payment method.

7. Intellectual Property

The Services, including all software, designs, text, graphics, logos, trademarks, and other content (excluding User Content), are owned by Cerda or its licensors and are protected by intellectual property laws. Subject to your compliance with these Terms, we grant you a limited, revocable, non-exclusive, non-transferable license to access and use the Services for your internal business or personal use. No other rights are granted.

8. Third-Party Services

The Services may integrate with or link to third-party services, including payment processors, mapping providers, and analytics providers. Your use of those third-party services is subject to their own terms and privacy policies. We are not responsible for third-party services.

9. Privacy

Our collection and use of personal information is described in our Privacy Policy, which is incorporated by reference into these Terms.

10. Disclaimers

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE. CERDA DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT ANY DEFECTS WILL BE CORRECTED.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CERDA AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUES, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO YOUR USE OF THE SERVICES, REGARDLESS OF THE LEGAL THEORY AND EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US FOR THE SERVICES IN THE TWELVE MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS.

12. Indemnification

You agree to indemnify, defend, and hold harmless Cerda and its affiliates, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with (i) your use of the Services, (ii) your User Content, (iii) your violation of these Terms, or (iv) your violation of any law or third-party right.

13. Termination

We may suspend or terminate your access to the Services at any time, with or without notice, for any reason, including if we believe you have violated these Terms. You may stop using the Services at any time. Sections that by their nature should survive termination will survive, including ownership provisions, warranty disclaimers, indemnification, limitation of liability, and dispute resolution.

14. Governing Law and Disputes

These Terms are governed by the laws of the State of California, without regard to its conflict-of-laws principles. Subject to the arbitration provision below, any dispute arising out of or relating to these Terms or the Services will be brought exclusively in the state or federal courts located in Los Angeles County, California, and you consent to the personal jurisdiction of those courts.

Arbitration. At Cerda's or your election, any dispute arising out of or relating to these Terms or the Services may instead be resolved by binding individual arbitration in Los Angeles, California, under the rules of a recognized arbitration provider. You and Cerda each waive any right to a jury trial and to participate in a class or representative action, except where prohibited by law.

15. Changes to These Terms

We may update these Terms from time to time. When we do, we will revise the “Effective Date” at the top of this page and, where appropriate, provide notice through the Services. Your continued use of the Services after the changes take effect constitutes your acceptance of the updated Terms.

16. Miscellaneous

These Terms, together with the Privacy Policy and any other agreements you enter into with us in connection with the Services, constitute the entire agreement between you and Cerda regarding the Services. If any provision is held unenforceable, the remaining provisions will remain in full force and effect. Our failure to enforce any right or provision will not be a waiver. You may not assign these Terms without our prior written consent; we may assign these Terms freely.
